Terms of Service

By accessing or using the ShipIndia platform (the "Platform"), including our website, mobile applications, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and ShipIndia Commerce Private Limited ("ShipIndia", "we", "us", or "our").

We reserve the right to modify these Terms at any time. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We will notify you of material changes via email or a prominent notice on the Platform.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are 18 years of age or older.

By using the Platform, you represent that you have the legal capacity to enter into a binding contract under applicable law.

Residents of countries subject to Indian export control regulations or international sanctions are prohibited from using the Platform.

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at legal@shipindia.co of any unauthorised use of your account.

We reserve the right to suspend or terminate your account at our sole discretion, including if we believe you have violated these Terms.

You may not create more than one personal account. Corporate or vendor accounts are governed by separate Vendor Terms.

ShipIndia operates as an online marketplace connecting buyers and independent vendors. ShipIndia is not the seller of record for third-party vendor products unless explicitly stated.

All product listings, descriptions, prices, and availability are subject to change without notice. We do not warrant the accuracy of product descriptions, images, or other content provided by vendors.

By placing an order, you make an offer to purchase the product at the listed price. A binding contract is formed when the vendor accepts and confirms your order.

Prices are displayed in Indian Rupees (INR) unless otherwise stated. All applicable taxes and shipping charges will be disclosed at checkout before you complete your purchase.

We reserve the right to refuse or cancel orders at any time for any reason, including suspected fraud, pricing errors, or inventory issues. If your order is cancelled after payment, you will receive a full refund.

We accept major payment methods including credit/debit cards, UPI, net banking, and other methods as made available on the Platform. All payments are processed through secure third-party payment gateways.

By providing payment information, you represent that you are authorised to use the payment method and authorise us to charge the total amount due.

ShipIndia does not store your full card details. Payment processing is handled by PCI-DSS compliant third-party processors.

In the event of a payment failure, the transaction will be voided and no amount will be deducted. If an amount is deducted for a failed order, it will be automatically refunded within 5–7 business days.

Shipping timelines are estimates only and are not guaranteed. Delays may occur due to logistical issues, customs clearance, force majeure, or other factors beyond our control.

Risk of loss and title for products purchased on the Platform pass to you upon delivery to the specified address.

For international shipments (Singapore, Malaysia, and other countries), you are responsible for all customs duties, import taxes, and fees levied by the destination country.

Shipping charges are calculated at checkout based on order weight, dimensions, destination, and applicable promotions.

Our return and refund policy is governed by the individual vendor's policy as displayed on the product listing, and by ShipIndia's platform-level Return Policy which is incorporated into these Terms by reference.

Certain categories of products (perishables, personalised items, digital goods, hygiene products once opened) are non-returnable unless defective or incorrectly delivered.

To initiate a return, you must raise a request through your account dashboard within the return window specified on the product listing, typically 7 days from delivery.

Refunds, once approved, will be credited to your original payment method within 7–10 business days.

Vendors on the Platform are independent third parties. ShipIndia does not endorse any vendor or take responsibility for the quality, safety, legality, or accuracy of vendor-listed products.

Vendors are required to comply with all applicable laws, including the Consumer Protection Act 2019, Legal Metrology Act, and applicable food safety regulations.

ShipIndia reserves the right to remove any product listing or suspend any vendor account that violates our Vendor Policy or applicable law, without prior notice.

You agree not to use the Platform to: (a) violate any applicable law or regulation; (b) infringe any third-party intellectual property rights; (c) upload or transmit viruses, malware, or any harmful code; (d) engage in fraudulent transactions; (e) reverse engineer, scrape, or systematically harvest data from the Platform; (f) impersonate any person or entity; or (g) engage in any conduct that restricts or inhibits any other user's use of the Platform.

Listing, selling, or purchasing prohibited items including but not limited to: counterfeit goods, weapons, controlled substances, stolen goods, or items that violate export control laws is strictly prohibited.

Violation of these prohibitions may result in immediate account termination and may be referred to law enforcement authorities.

All content on the Platform including but not limited to text, graphics, logos, button icons, images, audio clips, and software is the property of ShipIndia or its content suppliers and is protected by applicable Indian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for personal, non-commercial purposes.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any content from the Platform without our express prior written consent.

User-generated content (reviews, product images uploaded by users) remains your property but you grant ShipIndia a perpetual, worldwide, royalty-free licence to use, reproduce, and display such content in connection with the Platform.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

We process personal data in accordance with the Information Technology Act 2000 and the Digital Personal Data Protection Act 2023 (DPDPA).

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ShipIndia does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. ShipIndia does not warrant the accuracy, completeness, or reliability of any content on the Platform.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHIPINDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

ShipIndia's total aggregate liability to you for any claims arising out of or related to these Terms or the Platform shall not exceed the amount you paid to ShipIndia in the 90 days preceding the event giving rise to the claim, or INR 10,000, whichever is lower.

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if ShipIndia has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless ShipIndia, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit or transmit through the Platform.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act 1996.

The seat and venue of arbitration shall be Mumbai, Maharashtra, India. The arbitration shall be conducted in English by a sole arbitrator mutually agreed upon by the parties.

Nothing in this clause shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

You may terminate your account at any time by contacting us at legal@shipindia.co. Termination of your account does not affect any orders in progress or obligations already incurred.

We may suspend or terminate your access to the Platform immediately and without notice if you breach these Terms, if required by law, or if we discontinue the Platform.

On termination, all licences granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including Sections 10, 12, 13, 14, and 15) will continue to apply.

These Terms constitute the entire agreement between you and ShipIndia with respect to the Platform and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
